Random Tox FX Halftone Component

1. Scope and Definitions

"Product" means any Random Tox FX component or bundle that you validly purchase or are authorized to download, together with all files supplied as part of it. These files may include TOE and TOX files, shaders, scripts, source code, palettes, presets, documentation, examples, and assets. Product also includes updates or replacement files supplied for that component or bundle and any modified or derived version of the supplied materials.

"Project" means a larger creative or technical work in which the Product is incorporated, such as a TouchDesigner project, performance, installation, or client deliverable.

"Output" means images, video, audio, performances, streams, recordings, and other rendered or flattened results that do not expose or distribute the Product or allow it to be extracted or reused.

This license applies to both paid Products and Products provided through an authorized free download. If a Product is accompanied by a different license, the different license controls for that Product.

2. License Grant

For each valid purchase or authorized download, the Licensor grants one individual a non-exclusive, non-transferable license to:

• Install and use the Product on computers used by that individual.
• Make reasonable backup copies for that individual's own use.
• Use and modify the Product in personal and commercial Projects.
• Create, display, perform, distribute, and sell Output.
• Use the Product in work created for clients, subject to Section 4.

No rights are granted except those expressly stated in this license.

3. Bundles, Organizations, and Teams

A bundle is licensed as one Product and includes only the items supplied with that bundle. The license does not extend to other Random Tox FX products.

Organizations and teams must obtain one license for each individual who uses, accesses, or modifies the Product. A license may not be shared or used concurrently by multiple individuals. The limited client-project permission in Section 4 is an exception to this per-user rule.

4. Client Projects

You may deliver an editable Project containing the Product to a client only when all of the following conditions are met:

• The Project is a genuine, customized client work in which the Product is incorporated as part of a larger work.
• The Product is not the Project itself, its primary value, or substantially the only material delivered.
• The client and its personnel use the Product only to operate, maintain, or edit that delivered Project.
• The client does not extract, reuse, sublicense, redistribute, or resell the Product separately, or use it to create other Projects.

This is a limited exception for the delivered Project, not a general license to the Product. A client who wants to use the Product independently or in other Projects must obtain the appropriate license.

5. Restrictions

Except for the permissions in Section 4, you may not:

• Share, sublicense, transfer, publish, upload, or redistribute the Product.
• Resell the Product or offer it as a standalone product or service.
• Make the Product available through a public repository, public download, shared drive, asset server, or similar system accessible to unlicensed users.
• Include the Product in a template, component library, plugin, asset pack, starter project, stock project, or other item intended for use in creating additional Projects.
• Deliver the Product inside an empty, nominal, or superficial wrapper whose purpose or primary value is to provide the Product.
• Use Output as a means of reconstructing, extracting, or distributing the Product.
• Remove or alter copyright, license, trademark, or attribution notices included with the Product.

These restrictions apply to the original Product and to modified, translated, adapted, converted, or derived versions of it. You may not enable another person to do anything prohibited by this license.

6. Ownership and Third-Party Materials

The Product is licensed, not sold. The Licensor retains all rights, title, and interest in the Product. You retain ownership of your original contributions to Projects and Output, excluding the Product and modifications or derivatives of the Product.

Third-party materials, if any, remain subject to their own notices and license terms. This license does not grant rights to third-party trademarks, software, or other materials.

7. Updates and Support

This license does not require the Licensor to provide maintenance, support, updates, compatibility fixes, or future versions. Unless stated otherwise, an update supplied for a Product is governed by the license version accompanying that update.

8. Termination

This license terminates automatically if you materially breach it and do not cure the breach within 14 days after becoming aware of the breach or receiving notice of it. After termination, you must stop using the Product and delete all copies in your possession or control. Properly delivered client Projects and distributed Output created before termination may continue to be used under the applicable terms of this license.

9. Disclaimer of Warranty

To the maximum extent permitted by applicable law, the Product is provided "as is" and without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, business, or goodwill arising from the Product or its use. The Licensor's total liability relating to a Product will not exceed the amount you paid for that Product.

Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of these terms may not apply to you.

11. General Terms

If any provision of this license is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. This license and any separate written terms expressly agreed by the Licensor are the entire agreement concerning the Product and supersede prior statements about its use.

The license version supplied with or linked from the Product when you obtained it governs that copy. A later license version does not replace it unless you accept the later version or obtain an update supplied under it.
